Terms of Use

These Terms of Use ("Terms") govern your use of hilltopventuregroup.com (the "Site"), operated by Hilltop Venture Group, LLC, a New Jersey limited liability company ("Hilltop," "we," "us"). By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.

1. Information only, not professional advice

The Site describes Hilltop and its services for general informational purposes. Nothing on the Site is financial, accounting, tax, legal, or investment advice, and you should not act on it without advice tailored to your situation.

Hilltop provides business financial consulting, outsourced financial management, and commercial operations consulting. Hilltop is not a broker-dealer, investment adviser, or public accounting firm, and does not provide investment advice, tax preparation, audit, or attest services. Hilltop may deliver services through qualified subcontractors; Hilltop remains responsible for the work under its agreement with you.

2. No client relationship

Visiting the Site, submitting the contact form, or emailing us does not create a client, advisory, or fiduciary relationship with Hilltop. We provide services only under a written engagement agreement signed by both parties, and that agreement, not these Terms, governs any services we provide.

3. What to send us

Please don't send confidential or sensitive information, such as financial statements, account numbers, or government identification numbers, through the Site or in an initial inquiry. Until an engagement agreement is in place, we can't take on confidentiality obligations for information sent to us unsolicited. We will still handle anything you send as described in our Privacy Policy.

4. Acceptable use

You agree to use the Site only for lawful purposes. You agree not to:

• use the contact form to send spam, advertising, or automated submissions;
• attempt to gain unauthorized access to the Site or the systems behind it, or probe, scan, or test their vulnerabilities without our written permission;
• interfere with or disrupt the Site, including by overloading it or introducing malicious code; or
• impersonate anyone or misrepresent your affiliation with anyone.

5. Our content and marks

The Site and its content, including its text, design, the Hilltop Venture Group name, and the ridgeline mark, are owned by Hilltop and protected by intellectual property laws. You may view and print pages of the Site for your own informational use. Any other copying, modification, distribution, or commercial use requires our prior written permission. Nothing in these Terms grants you any right to use our name or marks.

6. Links to other sites

If the Site links to websites we don't operate, those links are provided for convenience only. We don't control and aren't responsible for the content or practices of those sites.

7. Disclaimer of warranties

We work to keep the Site accurate and available, but it is provided "as is" and "as available." To the extent permitted by law, Hilltop disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that its content is complete or current.

8. Limitation of liability

To the extent permitted by law, Hilltop and its members, managers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to your use of, or inability to use, the Site or its content. This section applies only to your use of the Site; it does not limit any rights or obligations under a signed engagement agreement, and it does not limit liability that cannot be limited under applicable law, including liability for gross negligence or willful misconduct.

9. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New Jersey, and you and Hilltop consent to the personal jurisdiction of those courts.

10. Changes to these Terms

We may update these Terms from time to time by posting a new version on this page and changing the effective date above. Changes apply to use of the Site after they are posted.

11. General

If any provision of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and Hilltop regarding use of the Site.
